    Business Transactions and Corporate Law
Our Business Transactions and Corporate Law Group routinely represents both public and private companies with respect to general business matters.  The Group provides customized legal services in corporate matters, securities, franchise and other finance related issues, merger and acquisition transactions, partnership, limited liability company and joint venture matters and federal, state and local tax matters.

    International/Immigration
The lawyers practicing international law are a cross-disciplinary group of lawyers who focus on the unique aspects of international laws and U.S. laws that impact foreign companies and individuals.  The Immigration team works closely with the Employment practice, keeping its focus on visas and permanent residence filings impacting foreign workers.  The International Taxation team concentrates on international corporate planning and international tax, and also works closely with the Firm’s Business Transactions and Corporate Law practice. Additional senior lawyers from other practice areas within the Firm complement the International Group offering services in various international matters including litigation, securities, intellectual property, real property, employee benefits, labor law, estate planning and admiralty.

Many of our other practices complement the International Practice Group in serving companies and individuals with foreign interests.  The Business Transactions and Corporate Law Practice Group and the Taxation Group attorneys offer skills in international transactions including cross-border transactions, trade agreements, import-export matters, cross border transfers of property, and patent and other intellectual property disputes.  Lawyers in this practice also regularly serve banking and financial service industries, and address issues under the Foreign Corrupt Practices Act and related topics.

The Immigration team provides a full range of visas and permanent residence filings, including employment and family-sponsored petitions.  This practice also offers immigration compliance/I-9 assistance, as well as deportation defense work.  The Immigration team represents entrepreneurs, corporations, non-profit organizations, health-care facilities, universities, individual clients, and foreign investors. Lawyers in this practice regularly serve various industries, including banking and financial services, construction and real estate, health care, non-profits, sports, entertainment, and gaming, technology and e-commerce, and transportation and logistics.

The International Taxation team concentrates on international, corporate and private client matters, working closely with the Firm’s Business Transactions, Taxation and Corporate Law Practice Group and the Estates and Trusts Practice Group.  This team assists foreign investors structuring inbound U.S. business ventures, high net worth foreign families migrating to or investing in the U.S., U.S. companies engaging in cross-border transactions or exporting products or services, and U.S. business executives planning extended tours of duty overseas.  These lawyers also handle international tax controversies, intercompany pricing issues, the usage of tax treaties, expatriation, sourcing of income, and cross border transfers of property.  Today, most business transactions have some element of international tax, trade or customs requirements.

Intellectual Property Protection, E-Commerce and Prosecution
The Intellectual Property, E-Commerce and Technology Group provides a full range of services to clients to meet their intellectual property needs, including identifying, registering, protecting, and defending all aspects of their intellectual property. Our highly qualified lawyers represent clients in many different areas including the drafting of confidentiality, non-compete, and technology licensing agreements, the registering of intellectual property with the United States Patent & Trademark Office, the Copyright Office, state agencies and international organizations and foreign jurisdictions. We also assist in protecting intellectual property rights by identifying possible infringement and preparing cease and desist correspondence.
