Fowler White Boggs’s Business Transactions and Corporate Law Group is comprised of attorneys who concentrate in diverse legal areas, including corporate and business services, ERISA and employee benefits, emerging companies and private capital, health care business, securities law and corporate finance, and taxation. All of these groups work together to provide exceptional legal services within the business realm.
Our Corporate and Business Services Group regularly represents public and private companies with merger and acquisition transactions. Because merger and acquisition transactions span various industries, attorneys within this practice area are particularly knowledgeable in specific industries, such as electronics, banking, and software. Our lawyers also help clients negotiate and document deals and letters of engagement.
The ERISA and Employee Benefits Group handles all matters that relate to qualified and non-qualified deferred compensation plans. Not only do our lawyers assist clients with plan design and drafting, but our attorneys also advise clients about legal compliance and plan administration. Our ERISA and Employee Benefits team has extensive federal court experience in handling litigation matters that involve benefit claims, discrimination, breach of fiduciary duty, and subrogation. This Group’s broad range of clientele includes employers and sponsors, individuals who participate in ERISA plans, plan fiduciaries, and insurance carriers. Both of these groups handle all ERISA and Employee Benefits issues that arise.
Fowler White’s Emerging Companies and Private Capital attorneys strive to understand each client’s individual business needs, tailor their services to fit those needs, and achieve the desired outcome. This Group serves clients who work in diverse business areas, such as computer software, communications, healthcare, defense, and restaurants. Our Emerging Companies and Private Capital team handles all types of equity and debt financing transactions that an emerging company may encounter. These lawyers also counsel emerging businesses with daily corporate matters, including the protection of intellectual property rights and technology interests.
Our Firm provides legal services within the health care business realm. The Health Care Business Group represents individuals, businesses, and corporations that function throughout the health care industry, such as physicians, hospitals, and nursing homes. The attorneys who work in this practice area have a wide breadth of experience in corporate, tax, finance, securities, real estate, and employee benefits issues that impact health care providers. Our Health Care Compliance team helps health care organizations and professionals meet specific regulatory requirements. This group also addresses compliance issues that fall under the Health Insurance Portability and Accountability Act of 1996 (“HIPPA”), Medicare/Medicaid, False Claims Act, Anti-Kickback Act, Stark, and other health care fraud and self-referral laws.
The Intellectual Property team provides our clients with litigation and intellectual property legal services. Some of these legal services include trademarks, patents, copyrights, domain names, trade secrets, and licensing. The attorneys who work within this Group also represent plaintiffs and defendants in litigation matters that involve the infringement of patents, trademarks and copyrights, the misappropriation of trade secrets and proprietary information, and other disputes that arise from technology development agreements.
The Securities Law and Corporate Finance Group represents issuers, underwriters, and investors. These attorneys help public companies prepare annual reports, proxy statements, press releases, various forms, and other shareholder communications. In addition, the Securities Law and Corporate Finance team regularly advises clients about several matters, such as the application of the Sarbanes-Oxley Act of 2002, the corporate governance regulation of NYSE and NASDAQ, and the implementation and execution of the annual director self-assessment process.
Our Taxation practice serves clients at the federal, international, state and local levels. The Federal Tax Group handles all aspects of federal taxation, including advice and counsel in structuring mergers, acquisitions, sales, partnerships, and joint ventures. Our International Tax attorneys assist foreign investors, high net worth foreign families, U.S. companies, and U.S. business executives with international, corporate, and private client matters. The State and Local Tax team addresses legislative tax matters, administrative and judicial actions, corporate structuring, and other tax planning activities. These three groups complement one another and provide clients with the highest level of legal service.
